By accessing or using Agent Docks (the "Service"), you agree to these Terms & Conditions (the "Terms"). If you do not agree, do not use the Service.

• "Inputs" means prompts, text, images, video, files, and other materials you submit or upload to the Service.
• "Outputs" means generated or edited text, images, video, and other results produced through the Service.
• "Third-Party Services" means external model providers, APIs, platforms, and vendors integrated into the Service (including AI model APIs and payment processors).

You must be at least 18 years old, or the age of majority in your country (whichever is higher), to use the Service. By using the Service, you confirm you meet this requirement.

You are responsible for activity under your account and for keeping your login credentials secure. You must provide accurate information and keep it updated. Notify us promptly of any unauthorised use of your account.

Agent Docks is a workflow platform that lets you build and run node-based pipelines for generating and editing text, images, and video ("Outputs") using your prompts, files, and other materials ("Inputs").

Subject to these Terms and your payment of applicable fees, Agent Docks grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes.

You agree not to, and not to allow others to:

• resell, lease, sublicense, or provide access to the Service on a stand-alone basis;
• reverse engineer, decompile, or attempt to discover source code or underlying components of the Service (except where prohibited by law);
• scrape, crawl, or use automated means to extract data, Outputs, or model behaviour at scale except as permitted by the Service features;
• interfere with or disrupt the Service, its security, or integrity (including introducing malware);
• bypass usage limits, access controls, or billing mechanisms;
• use the Service to build or improve a competing product, or publish benchmarking results without our written consent.

The Service integrates Third-Party Services (including third-party AI model providers). Your Inputs may be transmitted to Third-Party Services to generate Outputs. Third-Party Services may have their own terms, policies, rate limits, and restrictions, and they may change or become unavailable. We do not control and are not responsible for Third-Party Services, including their availability, policies, or outputs.

You agree not to use the Service to create, upload, generate, share, or distribute any content that:

• is illegal, harmful, or abusive;
• exploits or sexualises minors in any way;
• threatens, harasses, doxxes, or violates someone's privacy;
• impersonates others or enables deception (including fraudulent deepfakes);
• infringes intellectual property rights (copyright, trademark, etc.);
• contains malware, attempts to hack, or disrupts the Service;
• is used to facilitate wrongdoing (fraud, theft, etc.).

We may remove content, suspend workflows, limit features, or terminate accounts if we believe you violated these Terms, applicable laws, or Third-Party Service restrictions.

We may monitor, review, or restrict content and usage to keep the Service safe, comply with law, and enforce these Terms. We may comply with lawful requests from authorities.

If you believe content on the Service infringes your copyright or other IP rights, contact support@agentdocks.com with:

• your name and contact information,
• a description of the work allegedly infringed,
• a description of the allegedly infringing material and where it appears,
• a statement that you have a good-faith belief the use is unauthorised,
• a statement that the information is accurate, and that you are the rightsholder (or authorised to act),
• your signature (electronic is acceptable).

We may remove or disable access to the material and may terminate repeat infringers' accounts.

We may offer free trial credits or other promotional access at sign-up. Trial credits have no cash value, are not transferable, and cannot be exchanged for money. We may modify or discontinue trial offers at any time.

During your use of the Service, you may receive non-public information about Agent Docks (including product features and technical details) ("Confidential Information"). You agree not to disclose Confidential Information to third parties and to use it only to evaluate or use the Service. Confidential Information does not include information that is publicly available through no fault of yours.

If you provide suggestions, ideas, or feedback, you grant Agent Docks a worldwide, perpetual, irrevocable, royalty-free licence to use and incorporate that feedback without restriction or compensation.

Unless you object in writing to support@agentdocks.com, you agree that we may identify you as a customer and use your name and logo in a customer list on our website and marketing materials. We will stop future use within a reasonable time after receiving your objection.

The Service and Outputs are provided "as is" and "as available." We do not guarantee:

• uninterrupted availability,
• that Outputs will be accurate, unique, non-infringing, or fit for a particular purpose,
• that any specific model or feature will remain available (especially where Third-Party Services are involved).

To the maximum extent permitted by law, Agent Docks will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

To the maximum extent permitted by law, Agent Docks' total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the 12 months before the event giving rise to the claim (or USD $100 if you paid nothing).

You agree to defend, indemnify, and hold harmless Agent Docks from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your Inputs, Outputs, use of the Service, or violation of these Terms (including infringement or privacy violations).

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service, Third-Party Services, or other users. Upon termination, your right to use the Service ends immediately.

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules.

Before filing a claim, you agree to contact us at support@agentdocks.com and attempt to resolve the dispute informally.

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by a reputable arbitration provider, in English, with the seat in Delaware, USA. Judgment on the award may be entered in any court of competent jurisdiction.

You and Agent Docks agree to bring disputes only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding, to the extent permitted by law.

• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• Force majeure: Neither party is liable for delays beyond reasonable control.
• Entire agreement: These Terms, along with referenced policies, are the entire agreement between you and Agent Docks regarding the Service.

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use after the effective date means you accept the updated Terms.
